Terms of Service

1. Acceptance

By using Agendo, you agree to these Terms of Service ("Terms"). These Terms are a legal agreement between you and Tecsteps GmbH ("Company", "we", "us"). If you disagree, do not use the service.

2. Service Description

Agendo is an AI-powered workspace where you assign tasks to AI agents. Agents plan and execute tasks using external tools within your dedicated sandboxed workspace. The Service uses AI technology including large language models routed through OpenRouter and agent execution via the smolagents framework.

3. Account Requirements

  • Provide accurate registration information
  • Maintain account security (you are responsible for your password)
  • One account per person or entity (no sharing)
  • Must be 18 years or older
  • Notify us immediately of any unauthorized access

4. Acceptable Use

You agree NOT to:

  • Use Agendo for illegal activities
  • Attempt to bypass security or access others' data
  • Upload malware or malicious content
  • Harm, harass, or defraud others
  • Generate spam, phishing content, or malware
  • Infringe intellectual property rights
  • Abuse system resources or exceed reasonable limits
  • Reverse engineer the service
  • Circumvent usage limits or billing mechanisms

5. User Responsibility for AI Agent Actions

You assume full responsibility for all actions performed by AI agents on your behalf. When you instruct an AI agent to perform a task, you are solely responsible for:

  • The content, legality, and appropriateness of your instructions and prompts
  • All actions the AI agent takes in response to your instructions
  • Any data the AI agent accesses, creates, modifies, or deletes
  • Any interactions the AI agent has with external websites, APIs, or services
  • Reviewing and verifying all AI-generated outputs before use or reliance
  • Ensuring your use complies with applicable laws and third-party terms of service
  • Any consequences arising from AI agent actions, whether intended or unintended

We provide the platform and tools; you direct the agents and bear the risks. AI agents may produce unexpected results, access incorrect information, or take actions you did not anticipate. You acknowledge these risks and accept full liability for agent behavior.

6. AI Output Disclaimer

AI-generated outputs are provided "as is" without any warranties, express or implied. We do not guarantee accuracy, completeness, reliability, or fitness for any purpose. You are solely responsible for reviewing, verifying, and validating all AI-generated content before use. AI outputs do not constitute professional, legal, financial, medical, or any other form of advice. Any reliance on AI outputs is entirely at your own risk.

7. Credits and Payments

  • Tasks consume credits based on AI token usage
  • Purchase credits through Lemon Squeezy (our merchant of record)
  • Lemon Squeezy handles payment processing, tax collection (including VAT), and refunds
  • Credits are digital content delivered immediately upon purchase
  • By purchasing credits, you expressly consent to immediate delivery and acknowledge that you waive your right of withdrawal once credits are delivered to your account
  • Refunds are only available where required by mandatory consumer protection law or in case of technical failure preventing credit delivery
  • Purchased credits do not expire
  • Free promotional credits may have expiration dates

8. Intellectual Property

  • You retain ownership of your content and AI-generated outputs
  • We retain rights to the Agendo platform, trademarks, and proprietary technology
  • Agendo software is MIT licensed (open source portions only)
  • You grant us license to process your content to provide the service

9. Service Availability

  • We strive for high availability but cannot guarantee uninterrupted service
  • Maintenance may occur with reasonable notice
  • We may modify or discontinue features

10. Limitation of Liability

Mandatory liability (German law): Nothing in these Terms excludes or limits our liability for:

  • Intent (Vorsatz) or fraudulent misrepresentation
  • Gross negligence (grobe Fahrlassigkeit)
  • Death, personal injury, or damage to health
  • Breach of essential contractual obligations (Kardinalpflichten)
  • Liability under the German Product Liability Act (Produkthaftungsgesetz)

Limited liability: Subject to the above, and to the maximum extent permitted by applicable law:

  • For breach of essential contractual obligations caused by simple negligence, our liability is limited to foreseeable, typically occurring damages
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of profits, revenue, data, business opportunities, or goodwill
  • Our total aggregate liability for all other claims is limited to the amounts you paid us in the 12 months preceding the claim
  • We disclaim liability for actions taken by AI agents to the extent permitted by law, as you direct and control agent behavior

11. Indemnification

For business users: You agree to indemnify, defend, and hold harmless Tecsteps GmbH, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your culpable use of the Service; (b) actions performed by AI agents based on your instructions; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) content you submit through the Service.

For consumers: This indemnification obligation applies only to the extent you are at fault for the relevant claim and does not affect your statutory rights.

12. Termination

  • You may delete your account anytime via account settings
  • We may suspend accounts violating these terms (immediately for severe violations)
  • Upon termination, unused paid credits will be refunded to your original payment method within 30 days, minus any outstanding amounts owed
  • Free or promotional credits are forfeited upon termination
  • Your data will be deleted according to our data retention policy

13. Governing Law and Jurisdiction

These Terms are governed by German law, excluding its conflict of law provisions.

For business users: Exclusive jurisdiction lies with the courts of Berlin, Germany.

For consumers: You may bring claims in the courts of your country of residence if located in the EU/EEA, or in Berlin, Germany. We may only bring claims against you in the courts of your country of residence. Nothing in these Terms affects your statutory rights as a consumer under mandatory local law.

15. Changes

Material changes notified via email at least 30 days before taking effect. Continued use constitutes acceptance.
